Trade Terms & Conditions

Shoogulaboot Limited

These Trade Terms & Conditions apply to all retailers, gift shops, bookshops, schools, libraries, nurseries, kindergartens, educational organisations, visitor attractions, museums, garden centres, and other approved trade customers purchasing products from Shoogulaboot Limited, trading as Shoogulabooks.

By placing a trade order, the customer agrees to be bound by these Trade Terms & Conditions.


1. Definitions

In these Terms:

“Company” means Shoogulaboot Limited, trading as Shoogulabooks.

“Customer” means the trade account holder purchasing products from the Company.

“Products” means books, educational resources, promotional materials, and any other goods supplied by the Company.

“TOP UP System” means the Company’s automated replenishment service designed to maintain agreed stock levels.


2. Trade Account Eligibility

Trade accounts may be made available to:

  • Gift shops
  • Bookshops
  • Visitor attractions
  • Museums
  • Garden centres
  • Schools
  • Libraries
  • Nurseries
  • Kindergartens
  • Educational organisations
  • Charities
  • Approved retailers and wholesalers

The Company reserves the right to approve, reject, suspend, or terminate any trade account at its sole discretion.


3. Trade Pricing

Trade customers may receive discounted pricing compared to retail prices.

Trade discounts are confidential and must not be disclosed to third parties without written consent.

The Company reserves the right to amend trade pricing at any time upon reasonable notice.

All prices are subject to applicable taxes unless stated otherwise.


4. Orders

Orders may be placed through:

  • The Shoogulabooks website
  • Email
  • Telephone
  • Approved trade ordering systems

All orders are subject to acceptance by Shoogulaboot Limited.

The Company reserves the right to refuse any order.


5. Minimum Order Requirements

The Company may establish minimum order values, quantities, or stock commitments for trade customers.

Such requirements will be communicated separately and may vary according to customer type, territory, or promotional arrangements.


6. Payment Terms

Unless otherwise agreed in writing:

  • Payment must be made before dispatch.
  • Credit facilities are granted solely at the discretion of the Company.
  • Approved credit accounts must adhere to the agreed payment period stated on invoices.

Failure to make payment by the due date may result in:

  • Suspension of trading privileges.
  • Withdrawal of discounts.
  • Suspension of future deliveries.
  • Recovery action for outstanding amounts.

7. Retention of Title

Ownership of all Products supplied by Shoogulaboot Limited shall remain with the Company until full payment has been received for all amounts owed.

Until ownership transfers, the Customer shall keep the Products secure and identifiable as the property of Shoogulaboot Limited.


8. Delivery

Delivery times are estimates only and are not guaranteed.

The Company shall not be liable for delays caused by:

  • Shipping providers
  • Weather conditions
  • Supply chain disruptions
  • Customs procedures
  • Circumstances beyond the Company’s reasonable control

Risk in the Products passes to the Customer upon delivery.


9. Inspection and Claims

Customers must inspect all deliveries immediately upon receipt.

Any shortages, damages, or discrepancies must be reported within seven (7) days of delivery.

Failure to notify the Company within this period may result in claims being declined.


10. Returns

Returns are accepted only with the prior written approval of Shoogulaboot Limited.

The Company may refuse returns where:

  • Products are damaged by the Customer.
  • Books are unsaleable.
  • Products are incomplete.
  • Products show signs of use.

Approved returns must be returned in resaleable condition.

Return shipping costs may be the responsibility of the Customer unless the return results from an error by the Company.


11. The Shoogulabooks TOP UP System

The Shoogulabooks TOP UP System is an optional automated stock replenishment programme available to approved trade customers.

The purpose of the TOP UP System is to help ensure that stockists maintain agreed inventory levels and minimise lost sales arising from out-of-stock products.

Under the TOP UP System:

  • Stock levels may be monitored using agreed sales or inventory reporting methods.
  • Replacement stock may be automatically supplied to maintain agreed stock levels.
  • Customers agree to provide accurate inventory information where required.
  • Participation may be subject to separate commercial arrangements.

Whilst the Company will use reasonable efforts to maintain stock availability, participation in the TOP UP System does not guarantee uninterrupted supply.

The Company reserves the right to modify, suspend, or withdraw the TOP UP System at any time.


12. Educational Orders

Schools, libraries, nurseries, kindergartens, and other educational organisations may qualify for special educational pricing, literacy programme support, volume discounts, or promotional arrangements.

Participation in educational schemes remains subject to availability and the Company’s approval.


13. Marketing and Promotional Materials

Where provided, promotional displays, point-of-sale materials, posters, digital assets, and marketing content remain the intellectual property of Shoogulaboot Limited.

Customers may use such materials solely for promoting authorised Shoogulabooks products.


14. Intellectual Property

All Shoogulabooks stories, characters, illustrations, branding, logos, educational resources, and promotional materials remain the exclusive property of Shoogulaboot Limited.

Trade customers acquire no ownership rights in any intellectual property through the purchase or resale of Products.

No reproduction, adaptation, copying, scanning, digitisation, or commercial exploitation is permitted without prior written consent.


15. Limitation of Liability

To the fullest extent permitted by law, Shoogulaboot Limited shall not be liable for:

  • Indirect losses
  • Consequential losses
  • Loss of profit
  • Loss of business opportunity
  • Loss of goodwill

The Company’s total liability shall not exceed the value of the Products giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.


16. Termination

The Company may suspend or terminate any trade account at any time where:

  • Payment obligations are not met.
  • These Terms are breached.
  • The Customer engages in conduct likely to damage the Shoogulabooks brand.
  • The Company reasonably considers continued trading inappropriate.

Termination shall not affect any outstanding payment obligations.


17. Changes to Trade Terms

Shoogulaboot Limited reserves the right to amend these Trade Terms & Conditions at any time.

Updated versions will be made available to trade customers and will apply to future orders from the date of publication.


18. Governing Law

These Trade Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
